Independent Affiliate Agreement

1. PROGRAM OVERVIEW

EarnAI / QuickEarn Hub operates an affiliate program that allows individuals and organizations to earn commissions by promoting and selling YouTube Shorts script packages. This Agreement governs participation in the program.

2. COMMISSION STRUCTURE

Commission Rate: Affiliates earn 20% commission on each sale generated through their affiliate link or referral code.

Commission Calculation: Commission is calculated on the total sale amount before taxes or refunds.

Payment Method: Commissions are paid manually on a mutually agreed schedule (typically monthly). Payment is made via bank transfer, PayPal, or other method agreed upon by both parties.

3. AFFILIATE RESPONSIBILITIES

Affiliates agree to:

• Provide truthful and accurate marketing materials
• Avoid misleading claims about products or services
• Comply with Federal Trade Commission (FTC) Endorsement Guides
• Clearly disclose affiliate relationships in all marketing
• Use only approved affiliate links and promotional materials
• Comply with platform-specific terms of service
• Not engage in spam, unsolicited contact, or unethical marketing
• Not bid on GNAIAAAC LLC branded keywords without permission
• Maintain accurate account and payment information

4. FTC COMPLIANCE & DISCLOSURE

Affiliates must comply with FTC Endorsement Guides by:

• Clearly disclosing the affiliate relationship in all promotions
• Using unambiguous language such as "affiliate link," "sponsored," or #ad hashtag
• Placing disclosures where they are easily visible and noticeable
• Complying with platform-specific disclosure requirements (YouTube, Instagram, TikTok, etc.)

Failure to comply with FTC requirements may result in affiliate program termination and loss of commissions.

5. PROHIBITED MARKETING PRACTICES

Affiliates may NOT:

• Make false income claims or financial guarantees
• Make misleading promises about results or outcomes
• Send unsolicited emails, texts, or messages
• Engage in spam or deceptive advertising
• Create misleading landing pages or websites
• Impersonate GNAIAAAC LLC or its representatives
• Use trademark or brand name without permission in paid ads
• Promote through illegal or unethical channels
• Make claims not supported by evidence

6. INDEPENDENT CONTRACTOR STATUS

Affiliates are independent contractors, not employees or agents of GNAIAAAC LLC. Affiliates:

• Are solely responsible for tax reporting and payments
• Do not represent GNAIAAAC LLC except as authorized
• Cannot bind GNAIAAAC LLC to any obligations
• Are responsible for their own marketing costs
• Must comply with all applicable laws in their jurisdiction

7. COMMISSION TERMS

Commission will be forfeited if:

• Customer returns the product or requests a refund
• Customer's payment is reversed or disputed
• The sale is identified as fraudulent
• Affiliate violates this Agreement
• Affiliate engages in prohibited marketing practices

GNAIAAAC LLC reserves the right to withhold or recover commissions in these circumstances.

8. CONFIDENTIALITY

Affiliates agree to maintain confidentiality of:

• Commission rates and payment terms
• GNAIAAAC LLC business strategies
• Customer information provided
• Promotional materials not yet released
• Affiliate program details

9. TERMINATION

Termination by Affiliate: Affiliates may terminate participation by providing written notice to GNAIAAAC LLC. Outstanding commissions will be paid per standard schedule.

Termination by GNAIAAAC LLC: GNAIAAAC LLC may terminate the affiliate relationship immediately for:

• Violation of this Agreement
• Unethical or illegal marketing practices
• FTC compliance violations
• Fraud or misrepresentation
• Platform violations
• Inactivity (no sales for 90+ days)

Upon termination, all marketing materials must be removed and affiliate links deactivated.

10. LIABILITY & INDEMNIFICATION

Affiliates agree to indemnify and hold harmless GNAIAAAC LLC from any claims, damages, or liabilities arising from:

• Affiliate's marketing or promotional activities
• Misrepresentation or false claims by affiliate
• Violation of laws or platform terms of service
• FTC complaints or regulatory action
• Customer complaints related to affiliate marketing

11. NO WARRANTY

Commission rates and affiliate program terms are provided "AS IS" without warranty. GNAIAAAC LLC reserves the right to modify commission rates, program terms, or terminate the program with 30 days' notice.

12. GOVERNING LAW

This Agreement is governed by applicable United States federal and state laws.

13. ACCEPTANCE

By promoting EarnAI / QuickEarn Hub and accepting commissions, you acknowledge and agree to be bound by this Affiliate Agreement.
