Non-Disclosure & Non-Circumvention Agreement (NDC)

1. PURPOSE

This Non-Disclosure & Non-Circumvention Agreement ("NDC") is entered into between GNAIAAAC LLC and any individual or entity to protect confidential business relationships, prevent circumvention of business arrangements, and preserve the value of business introductions and opportunities.

2. NON-CIRCUMVENTION OBLIGATIONS

The Receiving Party agrees NOT to:

• Circumvent, bypass, or sidestep GNAIAAAC LLC in business relationships or transactions
• Contact or communicate directly with clients or business partners without authorization
• Interfere with, disrupt, or undermine established business relationships
• Divert business opportunities that were introduced by GNAIAAAC LLC
• Take actions designed to diminish GNAIAAAC LLC's role or compensation
• Solicit or encourage clients, affiliates, or partners to engage directly

3. PROTECTION PERIOD

Non-Circumvention protection remains effective for twenty-four (24) months following the introduction of a business relationship or opportunity by GNAIAAAC LLC.

4. CONFIDENTIALITY OBLIGATIONS

The Receiving Party also agrees to maintain confidentiality of:

• Client identity and contact information
• Business opportunity details and terms
• Commission or compensation structures
• Business relationship specifics
• Any proprietary processes or methods used

5. AUTHORIZED RELATIONSHIPS

This Agreement does not prevent the Receiving Party from engaging in business relationships that are:

• Independently sourced without GNAIAAAC LLC involvement
• Explicitly authorized in writing by GNAIAAAC LLC
• Developed prior to the introduction by GNAIAAAC LLC

6. BREACH AND REMEDIES

Breach of this NDC Agreement shall result in:

• Immediate termination of business relationship
• Loss of all rights and compensation
• Forfeiture of outstanding payments or commissions
• Liability for damages caused by circumvention
• Potential legal action for injunctive relief

7. RETURN OF MATERIALS

Upon termination or at GNAIAAAC LLC's request, the Receiving Party shall immediately:

• Return all confidential materials and documentation
• Destroy all information provided
• Cease all unauthorized communications
• Cooperate fully with GNAIAAAC LLC

8. DEFINITIONS

Circumvention: Any action taken to bypass GNAIAAAC LLC or diminish its role in a business relationship.

Business Introduction: The introduction of a client, opportunity, or business relationship by GNAIAAAC LLC to the Receiving Party.

Business Relationship: Any ongoing or potential business transaction, opportunity, or engagement.

9. ACKNOWLEDGMENT

The Receiving Party acknowledges that:

• Business introductions have significant value
• Circumvention causes measurable harm to GNAIAAAC LLC
• Damages for breach would be difficult to calculate precisely
• Injunctive relief is the appropriate remedy for violations

10. GOVERNING LAW

This NDC Agreement is governed by applicable United States federal and state laws in jurisdictions where GNAIAAAC LLC conducts business.

11. ACCEPTANCE

By accepting business introductions, opportunities, or relationships from GNAIAAAC LLC, you acknowledge and agree to be bound by this Non-Disclosure & Non-Circumvention Agreement.
